Today a company can be registered entirely online, via the Court Registers Portal. The paperwork, however, is the smaller part of the job — what matters more is that the legal form, the articles of association and the tax regime fit what the shareholders want to be doing in two and five years' time.
Choosing the legal form
We compare the limited liability company (sp. z o.o.), general partnership, limited partnership and simple joint-stock company in terms of shareholder liability, taxation (including the option of switching to Estonian CIT), running costs and how easily an investor can come on board.
Registration
We prepare the articles of association — using the template in the S24 system or as a notarial deed when non-standard provisions are needed — and the application to the KRS (the Polish National Court Register). After registration the company receives its NIP and REGON numbers automatically; we take care of the VAT-R registration, the entry in the Central Register of Beneficial Owners (CRBR, within 14 days of KRS registration) and notification of the bank account.
First settlements
From day one we keep the company's full accounts: we prepare the accounting policy and chart of accounts, and record the share capital and first expenses. We also help with converting a sole trader business into a company and with liquidation.

How long does it take to set up a limited liability company?
When registering via the S24 system, the KRS entry is usually made within a few working days. Articles of association in the form of a notarial deed extend this time — the court takes longer to process such an application. Preparing the documents on our side usually takes 1–2 days.
How much share capital is required?
The minimum share capital of a limited liability company is PLN 5,000. In a simple joint-stock company, PLN 1 of share capital is enough.
What needs to be done after the company is entered in the KRS?
Register the company in the Central Register of Beneficial Owners (CRBR, within 14 days), file VAT-R if the company will be an active VAT payer, notify the bank account and prepare the accounting policy. We do all of this for you.
